Terms of Service

1. Acceptance of Terms

By accessing or using the Ryvo Network platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Ryvo Network ("we," "us," or "our").

We reserve the right to update these Terms at any time. Continued use of the Service after any changes constitutes acceptance of the revised Terms. We will notify users of material changes via the platform or email.

2. Description of Service

Ryvo Network is a non-custodial settlement protocol built on Solana for machine payments and x402-style payment flows. The Service enables developers, AI agents, and businesses to lock USDC into protocol vaults, exchange signed payment obligations off-chain, and settle or net them on-chain with minimal transaction overhead.

The Service is currently operating in a beta / devnet phase. Features, pricing, and availability are subject to change without notice during this period.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

The Service is not available to residents or entities in jurisdictions subject to comprehensive sanctions (including but not limited to: Cuba, Iran, North Korea, Syria, and Crimea), or where the use of cryptocurrency payment services is prohibited by law. We reserve the right to restrict access based on geolocation, wallet screening, or regulatory requirements.

4. Website Access & Waitlist

The public website does not currently require an account. If you join the waitlist, you agree to provide a valid email address and to use the website only for lawful purposes.

Any third-party website or service linked from the website is governed by its own terms and privacy policy. We may restrict access when needed to protect the website, prevent abuse, or comply with applicable law.

5. Deposits, Payments & Fees

The Service operates using USDC on the Solana blockchain. Deposits are made into protocol-controlled vault accounts governed by on-chain rules rather than a company treasury wallet.

  • Settlement fees: Protocol, facilitator, or application-layer fees may apply depending on the integration path. Current fees are displayed on the platform and may change with notice.
  • Blockchain fees: On-chain Solana transaction fees (lamports) are borne by the user and are separate from Ryvo Network platform fees.
  • Withdrawals: You may request withdrawal of your available balance at any time, subject to AML screening and any applicable withdrawal limits. We aim to process withdrawals promptly, but delays may occur during the beta phase.
  • No refunds: Completed settlements are final and irreversible on-chain. We do not offer refunds for fees or settled payments.

6. Prohibited Activities

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Engage in money laundering, terrorist financing, or other financial crimes
  • Circumvent sanctions, export controls, or financial regulations
  • Use the Service for gambling, illegal marketplaces, or purchase of prohibited goods or services
  • Attempt to reverse-engineer, hack, or otherwise compromise the platform's security or infrastructure
  • Abuse API rate limits, spam the network, or attempt Sybil attacks
  • Misrepresent your identity or provide false information during account creation or KYC processes

Violation of this section may result in immediate account suspension, fund freezing, and reporting to relevant authorities.

7. Intellectual Property

All content, trademarks, logos, software, and intellectual property related to the Service are owned by or licensed to Ryvo Network. You are granted a limited, non-exclusive, non-transferable license to use the Service solely as permitted by these Terms.

Open-source components of the Ryvo SDK are governed by their respective open-source licenses. Nothing in these Terms restricts rights granted by those licenses.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES.

CRYPTOCURRENCY AND BLOCKCHAIN TECHNOLOGY CARRY INHERENT RISKS INCLUDING BUT NOT LIMITED TO PRICE VOLATILITY, TECHNICAL FAILURES, AND REGULATORY CHANGES. YOU USE THE SERVICE AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RYVO NETWORK AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF FUNDS, LOSS OF DATA, OR LOSS OF PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL RYVO NETWORK'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT OF FEES PAID BY YOU TO RYVO NETWORK IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ryvo Network and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Georgia (country), without regard to its conflict-of-law provisions. Any disputes arising out of or relating to these Terms shall be resolved by the competent courts of Georgia.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to allow fund withdrawal prior to account closure, except where prohibited by law or compliance requirements.
